Introduction and Accepting the Terms

These Terms of Service, together with our Privacy Policy, constitute a legal agreement between Speak Out ("Company", "we", or "us") and you. By using the Speak Out mobile application or website at usespeakout.com (collectively, the "Services"), you agree that:

  • You are at least 13 years of age and meet your country's minimum age of digital consent (16 in the EU and United Kingdom);
  • If you are of legal age, you have read and accept these Terms; or
  • If you are between 13 (or the applicable age of digital consent) and legal age, your parent or legal guardian has reviewed and agrees to these Terms on your behalf.

We reserve the right to update these Terms to reflect changes to the Services or for legal compliance. If changes materially affect your rights, we will notify you at least seven days before they take effect. Your continued use of the Services after changes are posted constitutes acceptance. If you do not agree to the updated Terms, you should stop using the Services.

Description of the Services

Speak Out is an AI-powered language learning application that enables users to practice speaking in a target language through real-time voice conversations with an AI tutor. The Services include:

  • Real-time voice and text conversations with an AI tutor powered by third-party AI services;
  • Session transcripts, AI-generated summaries, and language mistake analysis;
  • Personalised learning that adapts to your proficiency level (CEFR A1–C2), learning style, and progress;
  • Structured learning scenarios including exam preparation (e.g., TOEFL, IELTS) and real-world conversation practice;
  • Usage tracking, monthly quotas, and optional minute top-ups.

Your Account

To use the Services, you must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You represent that the information you provide during registration is true, accurate, and current.

You must keep your email address up to date. If you suspect unauthorised access to your account, notify us immediately at usespeakout@gmail.com. We are not liable for losses arising from unauthorised use of your credentials.

We reserve the right to suspend or terminate accounts that violate these Terms, without prior notice.

Acceptable Use

You agree to use the Services only for their intended purpose of language learning. You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable laws;
  • Attempt to manipulate, exploit, or misuse the AI tutor for purposes other than language learning;
  • Transmit harmful, abusive, threatening, or otherwise objectionable content during sessions;
  • Attempt to reverse engineer, decompile, or extract the source code of the application;
  • Use automated tools, bots, or scripts to access or interact with the Services;
  • Interfere with or disrupt the Services or servers;
  • Share your account credentials with others or allow others to use your account.

Subscriptions and Purchases

The Services may offer subscription plans and minute top-up purchases through the Apple App Store or Google Play Store. By making a purchase:

  • You agree to pay the applicable fees as displayed at the time of purchase;
  • Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date;
  • You can manage or cancel subscriptions through your device's app store settings;
  • Refunds are subject to the policies of the applicable app store (Apple or Google);
  • We reserve the right to change pricing with reasonable notice. Price changes will not affect your current billing period.

Usage Quotas

Your use of the AI tutor is subject to monthly usage quotas based on your subscription plan. Usage is metered in minutes of active conversation. Additional minutes may be purchased as top-ups. Unused quota minutes from your subscription do not carry over to the next billing period. Purchased top-up minutes remain available until used.

AI-Generated Content

The AI tutor's responses are generated by artificial intelligence and are intended for language learning purposes only. You acknowledge that:

  • AI-generated content may not always be accurate, complete, or appropriate;
  • The AI tutor is not a substitute for professional language instruction, certified exam preparation, or professional advice of any kind;
  • Session summaries, mistake analysis, and learning recommendations are generated by AI and should be treated as supplementary learning aids;
  • We do not guarantee specific learning outcomes or exam results from using the Services.

Intellectual Property

The Services, including the application, website, design, content, and underlying technology, are owned by Speak Out and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Services for personal, non-commercial language learning purposes, subject to these Terms.

You retain ownership of any content you create or provide through the Services (such as voice recordings during sessions). By using the Services, you grant us a licence to process this content as necessary to provide and improve the Services, as described in our Privacy Policy.

Feedback

If you provide feedback, suggestions, or ideas about the Services, you grant us an irrevocable, non-exclusive, royalty-free, perpetual, worldwide licence to use, modify, and incorporate that feedback without obligation to you. You waive any moral rights claims related to such feedback.

Termination

You may terminate your account at any time by deleting it through the App settings. We may terminate or suspend your account and access to the Services at any time if you violate these Terms or for any other reason at our discretion.

Upon termination, you may lose access to your account data, including session history, learning progress, and any unused purchased minutes. Active subscriptions should be cancelled through your app store to avoid further charges. We are not obligated to provide refunds for unused portions of subscriptions or top-up minutes upon termination for cause.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, secure, or error-free, or that the AI tutor will always provide accurate or appropriate responses. Your use of the Services is at your own risk.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR DAMAGES ARISING FROM YOUR USE OF THE SERVICES.

Our total liability to you for any claims arising from or related to the Services shall not exceed the greater of: (a) the amounts you paid to us in the three months preceding the claim, or (b) £100. These limitations do not apply where prohibited by applicable law.

Indemnification

You agree to indemnify and hold the Company harmless from any claims, damages, losses, and expenses (including legal fees) arising from: (i) your use of the Services; (ii) your violation of these Terms; (iii) your violation of any third-party rights; or (iv) content you provide through the Services.

Apple App Store Terms

If you download the App from the Apple App Store, you acknowledge that:

  • These Terms are between you and Speak Out only, not Apple Inc.;
  • Speak Out, not Apple, is solely responsible for the App and its content;
  • Apple has no obligation to provide maintenance, support, or warranty services for the App;
  • Speak Out is responsible for addressing any claims regarding the App, including product liability and intellectual property claims;
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them.

Governing Law and Dispute Resolution

These Terms are governed by the laws of England and Wales. Any disputes arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where applicable consumer protection laws grant you the right to bring proceedings in your local courts.

General

  • Entire agreement — These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding the Services.
  • Severability — If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver — Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
  • Assignment — We may assign our rights and obligations under these Terms. You may not assign yours without our prior written consent.
